Terms of Service

Foreword

You agree to these Terms of Service with Arx Corporate Finance (also referred to as Arx and “we”).

General

When you use our Services, you agree to all of these Terms of Service.

You therefore acknowledge that by creating an account on our Services (described below), by accessing them or by using them, you agree to comply with our Terms of Service even if you are using our Services on behalf of a company. If you do not agree to these terms, you should not create an account. Similarly, if you wish to discontinue use of this Service, you can do so at any time by deleting your account.

The Arx platform

The Arx platform designates the web app that includes all the Services (described below) that we have designed and developed to respond to corporate finance issues.

Services

The Services refer to the two modules that are available on our platform.

Our first module is a social network that is public and open to all corporate finance professionals, enabling our Clients, Members and Partners (described below) to share their profile and business opportunities.

Our second module, which build on the first, is a CRM enabling our Clients to track their deal flow and manage it (including the flow from the Social Network Service)

Social Network Service

Users

Clients, Members and Partners

Companies that subscribe to our Social Networking Service are referred to as Clients. Those who use the Service after their company has subscribed to it as a Client are referred to as "Members" and users whose company is not a Client are referred to as "Partners".

When your company subscribes to our Social Network, you therefore become a Member and have access to all the features of the Social Network Service. Otherwise, you can access certain features as Partners (such as editing your profile, but not the search features for example)

Contents

Our Social Networking Service allows Members and Partners who use our Services to identify transaction opportunities, to get in touch with other professionals or to be contacted by other professionals.

Our Social Network has features where you can fill in your company’s profile, your own profile, your own deals, or the deals made by your company.

Any Members and Partners who belong to an investment fund can also enter the funding vehicles and your fund’s investment strategies as well as the investments it currently has in its portfolio.

Members and Partners specialising in mergers and acquisitions can provide general information and their eligibility criteria.

Sharing

The information and content you share, or post is public and can therefore be seen by Members and Partners of the Social Network.

Personal Data

The personal data required for your profile is mostly data that will be used to create your account. Namely, your first name, last name, and your business email address. The latter is needed for the password recovery procedure.

Also, as a legal body, the name of the companies and their address is also required for indexing your deals and/or participations.

Equally the name of the vehicles and their vintage are other instances of personal data that can be provided if you are an investor in an investment fund.

Rights

You own all the content and all the personal data that you give us but you also grant us a non-exclusive licence.

You and Arx agree that you own the content and data that you submit to the Services or post on the Services and that you grant Arx non-exclusive permission to share such content through its Services.

You may terminate this right as far as regards specific content by electing to remove that content from the Services at your convenience.

You can also decide if you wish to close your account so that all the data about you is deleted (subject to giving Arx enough time to reasonably eliminate it from backup and other systems).

Profile enrichment by Arx

In addition to the data that you provide us with as a Client, Member or Partner, you authorise Arx to enrich your profile with anything that is available in the public domain (press, press release, social networks, your company's website) to make sure that your profile information is complete.

CRM/DealFlow service

Users

The only users able to access our dealflow Service are those whose company has subscribed to the Service and who have had this module enabled for them by their company.

Contents

Our Deal Flow management module manages business processes for corporate finance firms.

The module thus manages a database of contacts, keeps a history of any communications with these contacts, lists transaction opportunities and monitors your company's deal flow. A Reporting and Dashboard tool also enables you to monitor all of this information and therefore your company’s overall business.

Sharing

We deploy an instance of our CRM for each of our Clients so that we can physically separate data between each Client.

For the CRM module, the data is therefore private and only for the Client's users and therefore is accessible by one company only.

If required, a user from the same Client can more specifically share an opportunity, a communication or a contact exclusively with one of the Client’s user or group of users and not with all this Client’s users.

Personal Data

The only personal data required for the CRM/Dealflow Service is mostly data that will be used to create your account.

Obligations

Your account

You must keep your password secret.

You must not share your account with any other person.

Users are account holders. You agree to use a strong password and to keep it confidential. You are responsible for all use of your account unless you close it or report it has been misused.

Intellectual property rights

We inform you about our intellectual property rights.

Arx reserves all of its intellectual property rights in the Services. The trademarks and logos used in connection with the Services belong to their respective owners. Arx, the logo and illustrations used for our Services are trademarks or registered trademarks of Arx Corporate Finance.

Dos and Don'ts of the Arx Platform

Do

You agree to:

Comply with all applicable laws, including, but not limited to, privacy laws, intellectual property rights laws, spam laws, data control laws, exports, tax laws and regulatory requirements.

In terms of the Social Networking Service, to provide us with accurate information and to update it.

use the Services in a professional manner.

Don'ts

You agree not to:

create a false identity on the Arx Platform, forge your identity, or use or attempt to use another person's account.

develop, support, or use software, devices, scripts, robots or any other means or processes (including web crawlers, browser plug-ins and add-ons, or any other technology) to web scrape the Services or otherwise copy profiles and other data from the Services.

override any security features or work around or circumvent any access control measures or use Service limits (such as limitations on keyword searches or profile views).

disclose any information that you do not have permission to disclose (such as personal data belonging to other people, including your employer)
